Terms & Conditions

These General Terms and Conditions (the “GTC”) contain the details, fees, related rights and operation of the Kvery.io SQL builder and editor system (“Kvery.io” or the “System”) operated by Kolt-Systems Kft. (the “Service Provider”). By registering and accepting these terms, you enter into a contractual relationship with the Service Provider.

I. Definitions

• Customer: the person or entity ordering or subscribing to the Kvery.io products or services by registering on www.kvery.io and subscribing to one of the available packages.
• System: the entire Kvery.io system, mobile application, its web interfaces and administration system developed by the Service Provider.
• Content: the SQL code, snippet and query entered by Editors.
• Group: the directory used to save and store queries. The Kvery.io subscription model is based on Groups — each new Group requires a new subscription to one of the Service Packages.
• User: a Customer with access to a Group who can run queries but cannot edit them or change their settings.
• Editor: a Customer with access to a Group who can run, edit and configure queries.
• Group owner: the Editor who created a Group; has access to billing and subscription settings.
• Account: created on sign-up to link subscriptions and roles; stores the Customer’s email address, last name, first name and password.

II. Scope, modification & termination

• These GTC entered into force on 1 October 2021 and remain in effect until revoked.
• The Customer is bound by these terms by accepting them. The Service Provider may unilaterally amend the GTC and will notify the Customer of the affected parts.
• These GTC are governed by Hungarian law, in particular the Civil Code (Act V of 2013).
• The Customer may at any time delete itself and its data from the System, thereby terminating access to the services. Parties must settle their accounts in full before terminating use.
• In the event of a severe, persistent or repeated material breach — or upon suspicion of fraudulent intent (e.g. invalid registration email, multiple sign-ups to use the service free of charge, use of a fraudulent or blocked payment method, or unjustified payment chargebacks) — the Service Provider may suspend the Customer’s access to the System upon prior written notice (email is sufficient).

III. Rights & obligations of the parties

• The contract between the parties is concluded exclusively in electronic form, which does not replace a written contract.
• The Service Provider reserves exclusive distribution rights to the Kvery.io system and its content; permission is required for any third-party use of that content.
• The Service Provider may subcontract third parties to fulfil its contractual duties, and may modify, further develop, expand or terminate the availability of the System at any time, subject to these GTC.
• Parties are exempted from liability for failure to perform caused by force majeure (e.g. floods, fires, earthquakes, war, or acts of public authorities).
• The Customer may at any time delete their user rights and request the deletion of their registration and termination of the contract, in accordance with the Privacy Policy.

IV. Responsibility

The Service Provider is responsible for ensuring the Kvery.io system functions as intended without errors, and provides an annual average of 99.9% uptime availability for fee-based services. This availability calculation excludes planned maintenance and interruptions beyond the Service Provider’s control. The Customer acknowledges that its use of the Services can affect its databases and accepts sole responsibility for the databases it connects.

V. Using Kvery.io

Registration

Using Kvery.io requires registering an Account — you may be asked to provide first and last name, email address and a unique password. You are responsible for the confidentiality and use of your login information. Registration results in the creation of a Group.

Subscriptions

Kvery.io provides a free forever Account with a limit of 3 queries. To use more queries or add users to a Group, you must subscribe to a paid Service Package. You may upgrade or downgrade your subscribed package per Section VI. Payments are processed by Stripe (www.stripe.com); the Service Provider does not store any card details.

Queries, users & dashboards

• To run a query, a database connection must first be established. Connections are stored at the highest level of security (see Section VIII).
• By registering, you become the Group owner of your default Group, fulfilling the User, Editor and Group owner roles simultaneously. Editors can add other registered users by email and grant Editor rights.
• Users can run several queries simultaneously on the same screen to build a tailor-made dashboard from the connected database.

VI. Fees & accounting

• Registration and limited functionality are free forever. Accepting the GTC does not create any payment obligation — this arises solely from subscribing to a paid plan.
• Subscription fees are charged on a monthly or yearly basis (your choice), in advance, until cancelled. You authorise the Service Provider to charge your linked card.
• You may cancel a paid service at any time in your Account settings. You retain access through the end of the current billing period but are not entitled to a refund or credit for fees already due or paid.
• The Service Provider may change subscription fees upon fifteen (15) days’ advance notice. Continued use after notice constitutes agreement to the change.
• Changing to a higher or lower package restarts the billing period; any remaining balance is taken into account against the new fee, but is not refundable.
• If the Service Provider terminates your access for a reason other than your breach of these GTC, it will refund any prepaid subscription fees. No refund is due if termination stems from your breach.

Right of withdrawal

You have the right to withdraw from these GTC within 14 dayswithout giving any reason. To exercise it, inform the Service Provider of your decision by an unequivocal statement (e.g. a letter by post or email) before the period expires. If you withdraw, the Service Provider will reimburse all payments received from you without undue delay and within 14 days, using the same means of payment you used for the initial transaction.

VII. Copyrights & licence

The Kvery.io system is a copyrighted work. The Service Provider reserves the exclusive right to the whole and every detail of the System’s content, its domain name and internet interfaces. The Service Provider grants the Customer a non-exclusive, non-transferable, non-sublicensable, worldwide right to use the System for its internal intended purpose, for the term and within the scope of this Agreement and the number of Groups paid for.

VIII. Data & security

Detailed data protection provisions are set out in our Privacy Policy. All sensitive data — including user information, database connections and coding information — is encrypted using AES-256 combined with SHA-256 and BASE64 methods.

IX. Miscellaneous

• If any provision of these GTC is invalid, the remaining provisions stay in force; the invalid provision is replaced by the closest applicable rule.
• Parties will attempt to settle disputes amicably. Failing that, they submit to the exclusive jurisdiction of the Hungarian courts.
• The parties act in good faith and fairness, and will notify each other in writing of any impediments without delay.
• The language of communication between the parties is English.
